In accordance with Part I, Section 3.3 of the Company Voluntary Arrangement of Schefenacker plc originally dated 9 March 2007 (as modified on 5 April 2007), Creditors are hereby notified that the Implementation Date of the Company Voluntary Arrangement occurred on 29 June 2007.
Company Voluntary Arrangement Update
On 2 May 2007 the restructuring of the bonds of Schefenacker Plc which is the English holding company for the Schefenacker group was approved by the requiste majorities of its creditors, bondholders and members under its English company voluntary arrangement procedure. Under the company voluntary arrangement its bondholders have agreed to cancel their bonds for shares and warrants in the restructured company together with a payment of cash.
Schefenacker plc is now proceeding to implement the company voluntary arrangement. One of the conditions precedent to implementation is recognition of the company voluntary arrangement in the United States. The US subsidiaries of Schefenacker are not part of these proceedings which are a prudent step by the holding company to ensure that it’s company voluntary arrangement is recognized in those countries where the group does business. A recognition hearing for the company voluntary arrangement has been ordered by the US Court on 14 June 2007. The company intends to implement its company voluntary arrangement on 15 June 2007.
In the interim period, Schefenacker Plc and all other companies within the group expect to continue to trade as usual. Its suppliers and customers worldwide will not be affected by the proceedings.
